Description and contents of the book

Section One: Introduction and Overview

Section Two: Theoretical perspectives underlying corporate governance. In this section authors are thinking of a discussion on notions such as resource dependence theory, institutional theory etc. It was also in this section that authors were thinking that a discussion of monistic, dualistic and pluralistic forms of corporate governance would also be discussed.

Section Three: Factors influencing the development of different corporate governance systems such as culture, political system etc.

Section Four: Review of corporate governance system and practices. Key nations and regions from around the world:

Eastern Europe (Ukraine and Russia)
Western Europe (France, Germany and Italy)
Scandinavia (Sweden, Norway, Denmark and Finland)

In this section we think to outline the corporate governance features at a national level before focusing on a firm level on the issues as you list:

- board roles;
- board size;
- board composition;
- board committees;
- director independence;
- director nomination and election;
- director remuneration;
- meetings of the board;
- the chairman/CEO duality.

Section Five: Comparative analysis of the corporate governance practices in the nations discussed in Section 4 to complete the task as we wrote:
"We would aspire to classify all above board practices in the spectrum from the most effective to the least effective (for example - the highest effective board committees practices are in.... (USA), the weakest - ..... (Germany). As a result of valuation of all board practices in all researched countries we will do our utmost to conclude on what concept of corporate governance is the most appropriate for developing the best board practices. This could be very strong contribution to the development of the theory and practice of corporate governance worldwide".

Professor Rodolfo Apreda holds a Ph.D. in Economics (University of Buenos Aires,1998), a Master Degree in Political Science (UCEMA, 2006),and both Licenciate Diplomas in Economics (University of Buenos Aires, 1983) and Mathematics (Caece University, 1978). He currently teaches courses in the Master and Ph D. Programs at the University of Cema, mainly in Capital Markets, Financial Assets Valuation and Corporate Governance.

In June 2000, he was appointed as Visiting Fellow at the Salomon Center of the Stern School of Business, New York University, where he did research in January-March 2001. In July 2001, Dr. Apreda was appointed as Visiting Scholar at the Center for Corporate Governance, University of Delaware, where he did research in December-March 2002.

His main fields of interest are the following: Corporate and Public Governance, Asymmetric Information, and Transactional Algebras.

Dr. Apreda has been presenting papers for the last years in international congresses held by the Eastern Finance Association, USA, (1998, 1999, 2001,2002,2003,2004,2005 and 2006); the Midwest Finance Association, USA(2001 and 2004); the Missouri Economic Association, USA (2001); the Australian Financial Management Association (1998, 2000); the University of Sheffield, UK, (1999); the Argentine Economic Association (1997,1998, 2000); the Latin American Economic Associations(1999). He also served, in some of them, as discussant and Chair Session.

Professor Apreda regularly contributes to learned journals. His last papers were published by the Journal of Multinational Finance Management, the Journal of Applied Economics, Corporate Ownership and Control, Portfolio Management and Financial Innovation, and Corporate Governance: International Review. He wrote nine books in Financial Economics and Corporate Governance issues. His last book in Spanish was published by La Ley in 2005 (Capital Markets, Portfolio Management and Corporate Governance), and his first book in English is forthcoming in the first quarter 2006 (Transactional Algebras, Differential Rates and Residual Information Sets, Nova Publishers, New York).

Dimitrios holds a B.Sc. degree in Business Administration from the Athens University of Business and Economics and an MBA and PhD degree from Cardiff University. He is Fellow of the Institute of Management Consultants, Member of the Chartered Institute of Management and Academic Member of the European Corporate Governance Institute.

He started his professional career as an accountant in a well-known fashion retail chain in Greece where he became involved in projects related to the firm’s expansion program and to the redesigning of the company’s administrative structures and procedures.

He then joined the Cardiff Business School as a Researcher and Lecturer specializing in strategic management, strategy development and corporate strategies and in 2002 he moved to Brunel University. He is currently Postgraduate Director of Programs in Business & Management.

He has taught as visiting Lecturer in both British and American institutions. He regularly presents papers at major international and national conferences and his work has appeared in the Long Range Planning, Strategic Change, Journal of Financial Services Marketing, European Business Journal, Management Decision, Corporate Board and Corporate Ownership and Control.

He has been appointed to the Corporate Affairs Committee at the Chartered Management Institute (CMI) in September 2004. He is Member of the editorial Board of the academic Journal Corporate Board: role, duties & composition (www.virtusinterpress.com). His main research and academic interests are concerned with: Strategic Planning Systems/Processes, Chief Executive Officers, Corporate Governance/Board of Directors, Top Management Groups, Mergers & Acquisitions, Joint Ventures & Strategic Alliances, Headquarters-Subsidiary relationships, as well as epistemological issues on theory testing and development.
