A new textbook

Corporate GovernancePublishing house Virtus Interpress introduces a new book on corporate governance titled "Corporate Governance".  This is a textbook aimed at postgraduate students, researchers and practitioners.
The authors of the book are Dr. Alexander Kostyuk, Ukrainian Academy of Banking (Ukraine), Dr. Udo C. Braendle, Manchester Law School (UK) and Dr. Rodolfo Apreda, University of Cema (Argentina).
Experts from 20 countries contributed texts to this textbook. They are experts both from developed and developing countries providing readers of this book with an international comparative analysis of corporate governance practices and corporate governance essentials. Efforts of more than 40 corporate governance experts have found its implementation in this book.
The new book contains 21 chapters (see the book content enclosed below). The international comparative analysis of corporate governance practices covers such countries as the USA, UK, Germany, France, Italy, Spain, the Netherlands, Belgium, Japan, Australia, Canada, Brazil, Ghana, Nigeria, South Africa, China. Corporate governance analysis is built around such issues as corporate law and regulation, ownership structures, market for corporate control, board of directors, stock market, etc.
Special attention is paid to the issue of board of directors. This covers the director selection, director remuneration, director independence, the board procedures.
Corporate governance theories are described in the book too. Agency theory, stakeholder theory and other theories are the basis of the corporate governance and therefore these are in the book.

Corporate Board Practices

A new book

Publishing house Virtus Interpress introduces a new book on corporate governance titled "Corporate Board Practices".

The author of the book is Dr. Alexander Kostyuk, Chair in Governance at Ukrainian Academy of Banking (Ukraine). This book is a result of original research conducted by the author worldwide.

The new book has 8 chapters. The book narrates on the corporate board practices with application the comparison review of the board practices in developed and developing countries. The author researched 270 joint stock companies for the period between 1998 and 2005. The author investigated in details such board practices as director election, director nomination, director independence, director remuneration, board committees, board size and composition. The international comparative analysis covers board practices in such countries as the USA, UK, Germany, France, Italy, Switzerland, Netherlands, Japan, Australia, Russia and Ukraine. The author of the book is Dr. Alexander Kostyuk, Chair in Governance at Ukrainian Academy of Banking (Ukraine). This book is a result of a five-year research conducted by the author.

The new book has 12 chapters. The book narrates on the system of mechanisms of corporate governance in Ukraine. This is a first book written about the corporate governance in a certain transition economy. The author researched 270 joint stock companies for the period between 1998 and 2004. The author investigated in details board practices, executive compensation, ownership structures, capital structures, credit structures, decision system, monitoring system, bankruptcy system, market for executives. There are unique data on the level and structure of executive remuneration in Ukraine, board committee practices.

Notes about the author

Alexander N. Kostyuk is Assistant Professor in Corporate Governance, Ukrainian Academy of Banking of National Bank of Ukraine. Editor-in-Chief and founder of international journals Corporate Ownership and Control, and Corporate Board: role, duties and composition. He is author of 14 papers in international journals on corporate governance, board practices, executive compensation, corporate control and ownership.
